Terms & Conditions - the basics

Having said that, Terms and Conditions (“T&C”) are a set of legally binding terms defined by you, as the owner of this website. The T&C set forth the legal boundaries governing the activities of the website visitors, or your customers, while they visit or engage with this website. The T&C are meant to establish the legal relationship between the site visitors and you as the website owner. 

 

T&C should be defined according to the specific needs and nature of each website. For example, a website offering products to customers in e-commerce transactions requires T&C that are different from the T&C of a website only providing information (like a blog, a landing page, and so on).     

 

T&C provide you as the website owner the ability to protect yourself from potential legal exposure, but this may differ from jurisdiction to jurisdiction, so make sure to receive local legal advice if you are trying to protect yourself from legal exposure.

What to include in the T&C document

Generally speaking, T&C often address these types of issues: Who is allowed to use the website; the possible payment methods; a declaration that the website owner may change his or her offering in the future; the types of warranties the website owner gives his or her customers; a reference to issues of intellectual property or copyrights, where relevant; the website owner’s right to suspend or cancel a member’s account; and much, much more.

Privacy Policy Commitment:

Intellectual Property;
• Any work product, configurations, or system developments created by Hayden Interiors, LLC in
connection with the company I work with is the property of the Company that I contract with.
• Hayden Interiors, LLC agrees to assign all rights, title, and interest in any such intellectual
property to the Company.

Confidentiality;
• Hayden Interiors, LLC will protect all proprietary and sensitive information (client lists,
pricing, strategies, financials, designs, etc.).
• Hayden Interiors, LLC will not disclose, copy, or external use without written consent of the Company it works with.
• Hayden Interiors, LLC obligation continues indefinitely, even after the Hayden Interiors, LLC agreement 
has expired.
Nondisclosure:

Confidential information cannot be shared or stored outside of legitimate
business needs. All confidential materials will be returned or destroyed immediately
upon contract termination.

Independent Contractor Terms & Conditions:


• Hayden Interiors, LLC is an independent contractor (not an employee) and is not entitled to
employee benefits, including but not limited to health insurance, paid leave, or
retirement benefits.
• Hayden Interiors, LLC is responsible for all applicable taxes, insurance, and business
expenses.
• Hayden Interiors, LLC shall have the right to determine the method and means by which
the services are performed, subject to the Company’s standards.

Additional Scope of Work of Expertise:

Hayden Interiors, LLC agrees to provide services as a design support contractor
for your Company, including, but not limited to;


• Create accurate and detailed space plans, specifications, and installation drawings
using CET Designer, CAP, or SPEC software.
• Develop complete furniture specifications, ensuring accuracy in product selection,
quantities, pricing, and finishes in alignment with manufacturer standards.
• Partner with sales and design leadership to understand client goals, program
requirements, and project scope.
• Support design development through product selection, finish coordination, and
material specification.
• Prepare and update project documentation, including quotes, presentations, and
installation packets.
• Maintain organized project files and ensure timely completion of all design
deliverables.
• Participate in client and internal project meetings as needed to communicate
design intent and progress.
• Coordinate with vendors and manufacturers for product information, pricing, and
technical details.
